In consideration of the mutual promises contained in this agreement, this agreement between KPMG in Ireland ("KPMG") and your organisation governs the use, by Company, of the KPMG Aviator (as defined below) in relation to services provided by KPMG in Ireland and serves as a supplement to Company's existing engagement letter with KPMG in Ireland for tax Services most recent.
In an effort to enhance timely and efficient professional services, KPMG offers a collaborative, virtual workspace in a protected, online environment, which is accessed through a web-browser. This workspace allows for Company and KPMG to share certain information, knowledge and deliverables in relation to those professional services ("KPMG Aviator ").
Data located in Company's KPMG Aviator site will be stored on a server in Ireland. KPMG may also use administrative services operating at our direction, including third parties located inside and outside Ireland for this purpose. These third parties may be provided with access to your information to perform administrative and clerical procedures.
This agreement and the attached Terms and Conditions shall be interpreted in accordance with the laws of Ireland and all disputes arising from or in connection with them shall be subject to the exclusive jurisdiction of the courts of Ireland.
By clicking, "I Agree", you confirm that you accept and agree to be bound by these terms and acknowledge that they constitute a legally binding contract between KPMG and the organisation on whose behalf you wish to be granted access to the KPMG Aviator. You confirm that you have the requisite authority, power and right to fully bind that organisation. If you do not agree to all of these terms or if you do not have the right to bind your organisation, you are not permitted to access or use the KPMG Aviation and you should not click to accept these terms and you should not proceed further.

Company is solely responsible for all use it makes of KPMG Aviator and of the content posted on KPMG Aviator. Except as expressly set out in these Terms and Conditions, no implied conditions, warranties or other terms apply to KPMG Aviator or any KPMG Content.
Nothing in these Terms and Conditions limits or excludes KPMG's liability for death or personal injury caused by its negligence or willful misconduct (willful misconduct shall mean any act or omission on KPMG’s part in circumstances where KPMG knew that such act or omission constituted a breach of its duty to you (or was reckless as to whether it did so)) or any other liability that may not, under applicable law, be limited or excluded. Subject to the foregoing, in no event shall KPMG be liable to Company for any indirect or consequential losses, or for any loss of profit, revenue, contracts, data, goodwill or other similar losses.
